Artemis Gold to Acquire Vista Gold for US$427 Million

On September 21, Artemis Gold (TSXV: ARTG) announced it agreed to acquire Vista Gold (TSX: VGZ | NYSE American: VGZ) for US$427 million. Under the agreement, Vista Gold shareholders will receive 0.0966 of an Artemis Gold share for each Vista Gold share.

The offer represents a premium of 25% to Vista Gold’s closing price on September 18, 2026 and 29% to its 20-day volume-weighted average price. The deal is expected to close in early 2027.
Artemis Gold said the deal will add an advanced-stage gold development asset of scale in a favourable mining jurisdiction.

An Advanced-Stage Asset in Australia

Vista Gold’s Mt Todd gold project is located approximately 290 kilometers southeast of Darwin in the Northern Territory, Australia, and 56 kilometers by road northwest of Katherine.
According to Vista Gold’s 2025 mineral resource estimate, the project hosts 9.1 million ounces of Measured and Indicated gold resources and 1.4 million ounces of Inferred gold resources.

Mt Todd is a feasibility-stage open-pit project with Proven and Probable reserves of 5.2 million ounces of gold. Prior mining and milling operations at Mt Todd closed in 2001, and the project has been granted key regulatory approvals for constructing and operating a processing facility at 50,000 tonnes per day.

Mt Todd is surrounded by more than 1,300 square kilometers of contiguous exploration licenses with multiple known occurrences of gold, copper, tin and tungsten, and has experienced limited modern exploration.

Following completion of the transaction, Artemis Gold intends to optimize the development plan for Mt Todd, with initial efforts on engineering and permitting and construction spend not expected until after Blackwater EP2 is in full production.

Deal Metrics

According to S&P Capital IQ, the transaction gives Vista Gold an enterprise value of about US$377.9 million. Based on eResearch calculations, that equates to approximately US$73 per gold ounce of Proven & Probable reserves, US$41 per gold ounce of Measured & Indicated resources, and US$36 per gold ounce of total resources.

The proposed acquisition continues a series of deals in the gold sector over the past few years, including:

Pathway to One Million Ounces

Once Mt Todd is in production, Artemis Gold expects the combination of an optimized Blackwater operation and a developed Mt Todd project to offer a pathway toward annual gold production of more than one million ounces.

Artemis Gold is a well-financed, growth-oriented gold and silver producer and development company, with its primary focus on the Blackwater mine in central British Columbia. The company expects to produce 265,000 to 290,000 ounces of gold in 2026.

Artemis Gold achieved its first gold and silver pour at Blackwater in January 2025 and declared commercial production on May 1, 2025. Its team has demonstrated capability in the design, construction, commissioning and operation of new gold mines, together with deep Australian industry experience.

Company Comments Highlight the Opportunity

“This transaction presents an attractive opportunity to add a high-quality development asset that, when combined with our ongoing and future growth opportunities for Blackwater, provides a pathway to achieving one million ounces of gold production per year,” Dale Andres, CEO of Artemis Gold, said in a statement.

“We believe the combination with Artemis Gold is the best way to maximize value delivery for our shareholders, both immediately and in the longer term,” Vista Gold CEO Fred Earnest said in a separate statement.

Vista Gold has agreed to pay Artemis Gold a break fee of US$18 million in certain circumstances if the deal is not completed. The company will continue to operate under the Artemis Gold name and remain headquartered in Vancouver, British Columbia.
